1. Agreement to Terms

By accessing or using Mediasaur ("the Service"), operated by Selcor Inc. ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Mediasaur is a cloud-based media management and storage platform that provides tools for uploading, storing, organizing, transforming, and managing digital media files. The Service includes features such as file storage, image transformations, API access, and media management capabilities.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

6. Payment and Billing

6.1 Subscription Plans

The Service may offer various subscription plans with different features and pricing. You agree to pay all fees associated with your selected plan.

6.2 Billing

Subscription fees are billed in advance on a recurring basis. You authorize us to charge your payment method for all fees. All fees are non-refundable except as required by law or as otherwise stated in these Terms.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

8. Data Storage and Limits

Storage limits and usage quotas are determined by your subscription plan. We reserve the right to enforce these limits and may suspend or terminate accounts that exceed their allocated resources. We are not responsible for data loss resulting from exceeding storage limits.

9. API Usage

If you use our API, you agree to comply with our API usage guidelines and rate limits. We reserve the right to throttle or suspend API access for accounts that exceed usage limits or violate these Terms. API access may be subject to additional terms and conditions.

10. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service will immediately cease. We may delete your account and content after a reasonable period following termination. You are responsible for backing up your content before termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SELCOR INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Selcor Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to your use of the Service, your content, or your violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Selcor Inc. is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

16. Severability

17. Entire Agreement

These Terms constitute the entire agreement between you and Selcor Inc. regarding the use of the Service and supersede all prior agreements and understandings.
